A Structured Approach to ODP Licensing
Obtaining an ODP Licence requires far more than submitting an application form. The Financial Sector Conduct Authority (FSCA) expects applicants to demonstrate that their business has the governance, operational capability, financial resources and compliance framework necessary to operate as an Over-the-Counter Derivative Provider.
At ODP Gateway, we guide our clients through every stage of the licensing process, helping ensure that each element of the application is prepared to the standard expected by the regulator.
Step 1 – Initial Consultation
Every application begins with understanding your business.
We take time to understand your proposed business model, ownership structure, products, target market and regulatory objectives before determining the most appropriate licensing strategy.
This initial assessment helps identify potential regulatory considerations before work begins.
Step 2 – Business & Regulatory Planning
A successful application starts with careful preparation.
Working alongside your team, we help establish the governance framework, executive appointments, operational structure and compliance programme required for an ODP business.
During this stage we assist with:
• Business planning
• Corporate governance
• Executive appointments
• Risk management framework
• Compliance framework
• Financial planning
• Operational procedures
• AML and KYC framework
Step 3 – Documentation & Application Preparation
An ODP application requires extensive supporting documentation.
Depending on the business model, the application may involve close to one hundred supporting documents, policies, procedures and governance frameworks.
Every document must be consistent, complete and aligned with the overall business model.
Our role is to coordinate the process and ensure the application presents a clear and accurate picture of the proposed business.
Step 4 – Submission to the FSCA
Once the application has been completed, the full submission is lodged with the Financial Sector Conduct Authority.
Following submission, the regulator may request clarification or additional information as part of its review process.
We remain involved throughout this stage, coordinating responses and assisting with regulator queries.
Step 5 – Regulatory Review
Each application is assessed on its own merits.
The FSCA evaluates the governance, financial resources, operational capability, compliance arrangements and overall suitability of the applicant before making its decision.
A well-prepared application can significantly reduce unnecessary delays during the review process.
Step 6 – Licence Approval & Ongoing Compliance
Receiving an ODP Licence is not the end of the journey.
Licensed firms have ongoing compliance obligations, including governance oversight, regulatory reporting, risk management and operational compliance.
ODP Gateway continues supporting clients after approval, helping them maintain the standards expected of regulated financial institutions.
